Legal details

Support for your company’s operations

Company form and structure

The procedure allows 1–30 DOO founders, individuals or legal entities including foreigners, with capital from €1. AD capital is €25,000. The CRPS legal representative and employed executive director are treated as distinct roles when preparing documents.

Director and HR documents

An employed foreign director requires an employment contract and the applicable residence and work authorization. Temporary protection, asylum or subsidiary protection status is considered individually when establishing work rights.

Notarial and electronic formalities

Incorporation documents undergo notarial formalities and translation with a court interpreter. We arrange electronic notarization and filing. Apostille or other recognition requirements follow the document’s country of origin.

Support for an inactive company

Support can cover a company without current activity: accounting books, required reports, registered address, mail and maintenance of registration data.

Taxes and planning opportunities

Planning considers progressive corporate tax of 9–15%, dividends at 15%, VAT at 21%/7%/0% and a €30,000 annual registration threshold. We assess eligibility for tax holidays of up to 8 years for businesses in underdeveloped regions, capped at €200,000 total relief; applicability is considered for each project.

Payroll and residence documents

Director and employee payroll, pension and other mandatory contributions form part of the accounting package. Residence documentation includes checking the applicable tax and contribution condition; planning considers €5,000/year from 1 January 2027 for relevant director-owners.

Cost components

The agreement defines the legal and accounting scope. Registration payments, notarial charges, court translation and the seal are considered separately according to the actions required; amounts are agreed for the selected package.

Legal framework

Support takes account of rules on business organizations and CRPS, accounting, corporate tax, VAT, personal tax and social insurance, foreigners and banking AML/KYC. These define the corporate documents, reporting, HR and banking parts of the service.

Questions about the service

Can an existing company move to Mirsatori&Partners support?
Yes. The process starts with an audit of the company's current status — checking the founding documents, tax status, and the accuracy of CRPS records — after which a retainer support agreement is signed.
Is support available for a company without current activity?
Yes. Under the Law on Accounting, a company is required to maintain accounting records and file returns even in the absence of turnover or profit — supporting a "dormant" company protects it from penalties for failing to file.
Can Mirsatori&Partners handle a change of director, members or address?
Yes. Resolutions and minutes are prepared for changes of director, members, address, or business activities, and the changes are filed with the CRPS in accordance with the Law on Business Organizations, with an updated extract obtained afterward.
What does employment administration include?
Drawing up and managing employment contracts for the director and staff, HR document management, and monitoring contributions to the pension fund and the employment fund — in accordance with the Labor Law and the Law on Mandatory Social Insurance Contributions.
