Legal details

Your path to completing a business closure

Simplified voluntary procedure

Skraćeni postupak is suitable for a company whose obligations to creditors, employees and the budget are settled. The notarized decision and founder’s no-debt declaration are prepared, followed by CRPS filing and the decision. The indicative duration is up to 3 months after filing.

Standard voluntary procedure

Redovni postupak includes appointing a liquidator, publishing a notice, the statutory creditor claims period, settlements, the final report and financial statements. The liquidator may be a founder or appointed representative. The indicative duration is about a year.

Court proceedings and reorganization

Stečaj support covers a Commercial Court petition, work with the court-appointed administrator, formation of the estate and settlements in the prescribed order. If creditors and the court approve a plan, reorganization can allow continued operation. The indicative duration is about a year.

Coordination with the accountant

We arrange for financial statements and the liquidation decision to share the same date. The lawyer prepares a statement of settled obligations and the accompanying package; the client grants authority before representation.

Electronic filing route

Where this route applies, a 30-day period follows the resolution and CRPS publication, after which Commercial Court confirmation is requested. The document is digitized and filed with the CRPS package; the indicative period after filing is around 30 days. The route and calendar are agreed for the particular liquidation.

Tax and banking completion

The accounting function prepares final financial and tax reporting on profit, VAT, payroll and contributions. We coordinate bank account closure last, after company closure; support covers all its banks.

Costs for the chosen procedure

The budget covers legal support, notarization, applicable court and CRPS actions, notices and final accounting work. State registration payments are determined by the stages and tariff applicable to the chosen procedure.

Legal framework

The procedure takes account of the Law on Business Organizations, insolvency rules for stečaj and reorganization, CRPS rules, tax laws and the Law on Administrative Fees.

Further information

Questions about the service

Can closure be handled without the founder travelling to Montenegro?

Yes. The liquidation decision is notarized under a power of attorney, and the entire procedure — from filing documents with the CRPS to obtaining the decision on removal from the register — is carried out without the founder's personal presence in Montenegro.

How is the appropriate closure procedure selected?

It depends on the company's financial condition. If there are no outstanding debts to creditors, employees, or the state budget, the simplified procedure (Skraćeni postupak) applies. If the company has assets or liabilities that need to be settled, the standard procedure (Redovni postupak) applies. If the company is insolvent, bankruptcy proceedings (Stečaj) apply.

Who can act as liquidator in the standard procedure?

The liquidator (likvidator) can be either the founder themselves or an appointed third party/representative.

What is included in completing the procedure?

Settling accounts with creditors and resolving tax obligations, the liquidator preparing the final report and final financial statements, filing these documents with the CRPS, closing the company's bank accounts, and obtaining the decision on removal from the register.
